Terms and Conditions

These Terms and Conditions govern the provision of VIP Day website design services by Grace Pariser trading as Pop + Pixel ("we", "us", "our"). By booking a VIP Day or using our services, you ("Client", "you", "your") agree to be bound by these terms.

1. Services

1.1 VIP Day Packages

We offer the following VIP Day packages:

1. VIP Half-Day (£349): Single landing page or simple website with basic features, delivered within 1 business day
2. VIP Full-Day (£799): Multi-page professional business website with advanced features, delivered within 1 business day

1.2 What's Included

All VIP Day packages include:

1. Preparation call to discuss requirements
2. Custom design tailored to your brand
3. Fully responsive design (mobile, tablet, desktop)
4. Contact form setup
5. Basic SEO optimisation (meta titles and descriptions)
6. SSL security integration
7. Launch-ready website delivery

1.3 Additional Services

Services beyond the VIP Day packages are available at £75 per hour, including:

1. Website updates and modifications
2. Custom functionality development
3. E-commerce solutions
4. Performance optimisation
5. Content updates and management

2. Payment Terms

2.1 VIP Day Payment

1. Full payment for your chosen VIP Day package is due at the time of booking
2. Payment is processed securely through our booking system
3. Your VIP Day date is not confirmed until payment is received

2.2 Hosting & Maintenance Fees

1. VIP Half-Day: £10 per month
2. VIP Full-Day: £20 per month
3. First month's hosting fee is due upon website launch
4. Subsequent payments are due monthly on the anniversary of your launch date
5. Hosting fees include secure web hosting, regular backups, security monitoring, software updates, and technical support

2.3 Additional Work

1. Additional services at £75/hour are invoiced separately
2. Payment is due immediately upon receipt of invoice

2.4 Late Payments

Late payments may incur interest charges at 4% per annum. If hosting fees become overdue, we reserve the right to suspend or close the website until payment is received.

3. Refund Policy

3.1 VIP Day Services

Due to the intensive, time-bound nature of VIP Day services:

1. VIP Day payments are non-refundable once your booking is confirmed
2. If you need to reschedule, you must provide at least 7 days' notice
3. Rescheduling is subject to availability and may only be done once

3.2 Cancellation by Us

If we need to cancel your VIP Day due to unforeseen circumstances, you will receive a full refund or the option to reschedule at no additional cost.

4. Client Obligations

4.1 Content Provision

You are responsible for providing:

1. All text content for your website
2. Logo and branding materials
3. Images and media files
4. Any specific functionality requirements

Content must be provided before your VIP Day. Failure to provide necessary content may result in the need to reschedule.

4.2 Content Accuracy & Legality

You guarantee that all materials provided:

1. Are accurate and not defamatory
2. Do not infringe upon the rights of any third party
3. Comply with all applicable laws including data protection and privacy laws

4.3 Timely Feedback

During your VIP Day, you agree to:

1. Be available for communication
2. Provide timely feedback when requested
3. Respond to questions within reasonable timeframes

5. Design Process & Revisions

5.1 VIP Day Process

Your VIP Day follows this process:

1. Preparation: Pre-VIP Day call to finalise requirements
2. VIP Day: Intensive design and development session
3. Review: Progress updates throughout the day with opportunity for feedback
4. Launch: Website delivered and made live

5.2 Minor Tweaks

Minor tweaks are included for 7 days after your VIP Day launch. Minor tweaks are defined as:

1. Typo corrections
2. Small text or image adjustments
3. Minor colour or spacing refinements

5.3 Major Changes

The following are considered outside the scope and will be charged at £75/hour:

1. Structural layout changes
2. Adding new pages or sections
3. Significant design modifications
4. New functionality requests
5. Changes to previously approved design decisions

6. Content Management

6.1 Content Updates After Launch

All content updates and modifications after launch are handled by us as a professional service, charged at £75 per hour.

6.2 You Focus on Your Business

Our websites are custom-coded for performance and security. We handle all technical aspects and content updates so you can focus on running your business.

7. Hosting & Maintenance

7.1 What's Included

Your monthly hosting fee includes:

1. Secure web hosting
2. Regular backups
3. Security monitoring
4. Software updates
5. Technical support

7.2 Termination of Hosting

Either party may terminate the hosting service with 30 days' written notice. Upon termination:

1. We will provide you with website files for transfer
2. You are responsible for arranging alternative hosting
3. We are not responsible for any downtime during transfer
4. Support and updates cease once transferred

8. Intellectual Property

8.1 Website Ownership

Upon full payment of your VIP Day package, you own the content of your website. However:

1. We retain ownership of our code framework and development methods
2. We reserve the right to showcase your website in our portfolio
3. You may not resell, redistribute, or claim authorship of our code

8.2 Third-Party Assets

You are responsible for ensuring you have proper licenses for any third-party assets (images, fonts, plugins) used on your website.

9. Limitation of Liability

9.1 Maximum Liability

Our total liability under this agreement shall not exceed the total amount paid by you for the VIP Day service.

9.2 Excluded Liability

We shall not be liable for:

1. Indirect, special, or consequential losses
2. Loss of profits, revenue, business, or data
3. Issues arising from content you provide
4. Third-party hosting or domain issues
5. Modifications made by you or others after delivery
6. Your failure to maintain, update, or backup the website

9.3 Claims Period

Any claim must be brought within 12 months of service completion.

9.4 Legal Exceptions

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

10. Confidentiality

We will not disclose any confidential information about your business except as required by law. This obligation survives termination of our agreement.

11.2 Your Responsibility

You are responsible for:

1. Reviewing and customising these templates for your business
2. Ensuring compliance with applicable laws in your jurisdiction
3. Updating policies as your business or regulations change

We provide templates for convenience only and are not responsible for legal compliance.

12. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, internet service disruptions, or pandemics.

13. Independent Contractor

We operate as an independent contractor. This agreement does not create an employment, partnership, or joint venture relationship.

14. Entire Agreement

These terms constitute the entire agreement between us and supersede all prior discussions or agreements.

15. Modifications

We may update these terms from time to time. Material changes will be communicated to active clients. Continued use of our services constitutes acceptance of updated terms.

16. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force.
